Algemene bepalingen – Dispositions générales – General provisions
NL – Tenzij andere bepalingen bij schriftelijke overeenkomst uitdrukkelijk vastgelegd worden, worden de volgende voorwaarden door beide partijen aanvaard. In elk geval worden verkoopsvoorwaarden gedrukt op het briefpapier en andere documenten van onze klanten niet aanvaard.
FR – Sauf si d’autres dispositions sont expressément stipulées par accord écrit, les conditions suivantes sont acceptées par les deux parties. En tout état de cause, les conditions de vente imprimées sur le papier à lettres et autres documents de nos clients ne sont pas acceptées.
EN – Unless other provisions are expressly laid down by written agreement, the following terms and conditions are accepted by both parties. In any case, terms of sale printed on our customers’ stationery and other documents are not accepted.
Offertes – Offres – Offers
NL – De prijzen en voorwaarden weerhouden in onze offertes worden gegeven zonder enige verbintenis.
FR – Les prix et conditions contenus dans nos offres sont donnés sans engagement.
EN – The prices and conditions retained in our offers are given without any commitment.
Prijzen – Tarifs/Prix – Prices
NL – De prijzen vermeld op de offerte of factuur zijn vast en alles inbegrepen voor de vermelde periode. Bij ontbreken van een geldigheidsperiode bedraagt deze 30 dagen. Indien wijzigingen worden aangebracht aan de leveringstermijn en/of de uitvoeringstermijn en/of omstandigheden, krijgt WOLFFF het recht extra kosten aan te rekenen.
FR – Les prix indiqués sur le bon de commande ou la facture sont fixes et forfaitaires pour la période indiquée. En l’absence d’une période de validité, cela équivaut à 30 jours. Si des modifications sont apportées au délai de livraison et/ou au délai d’exécution des travaux et/ou aux circonstances, WOLFFF est en droit de facturer des frais supplémentaires.
EN – The prices indicated on the order form or invoice are fixed and all-inclusive for the period indicated. In the absence of a validity period, it is 30 days. If changes are made to the term of delivery and/or the term of execution of the works and/or circumstances, WOLFFF shall be entitled to charge additional costs.
Uitvoeringstermijnen – Délais de réalisation – Execution deadlines
NL – De uitvoeringstermijnen van de prestaties en de leveringstermijnen gelden enkel ten titel van inlichting en zijn niet bindend voor WOLFFF. Niettemin zullen deze opgegeven termijnen zo stipt als het kan nageleefd worden, doch vertraging kan geen aanleiding geven tot het eisen van schadevergoedingen, noch het verbreken van het contract. In geval van overmacht zoals: stakingen, oorlog, verbod van in- en uitvoer, machinedefecten, brand, uitzonderlijke weersomstandigheden en hun directe gevolgen en alle mogelijke oorzaken welke een stilstand en/of vertraging van de werken en/of leveringen met zich meebrengt, kan WOLFFF de uitvoeringstermijn van de werken of de leveringstermijn verlengen, zonder recht op schadevergoeding van welke aard ook vanwege de klant.
FR – Les délais d’exécution des prestations et les délais de livraison sont donnés à titre indicatif et n’engagent pas WOLFFF. Néanmoins, les délais indiqués seront respectés aussi ponctuellement que possible, mais les retards ne peuvent donner lieu à des demandes de dommages et intérêts ou à l’annulation du contrat. En cas de force majeure telle que grèves, guerre, interdiction d’importation et d’exportation, défauts de machines, incendie, conditions météorologiques exceptionnelles et leurs conséquences directes et toutes causes possibles entraînant un arrêt et/ou un retard des travaux et/ou des livraisons, WOLFFF peut prolonger le délai d’exécution des travaux ou le délai de livraison, sans que le client ait droit à une quelconque indemnisation.
EN – The deadlines for execution of the works and delivery shall only apply by way of information and shall not be binding on WOLFFF. Nevertheless, these given deadlines shall be met as punctually as possible, but delays cannot give rise to claims for damages or breach of contract. In case of force majeure such as: strikes, war, prohibition of import and export, machine defects, fire, exceptional weather conditions and their direct consequences and all possible causes which cause stoppage and/or delay of the works and/or deliveries, WOLFFF may extend the term of execution of the works or the term of delivery, without entitlement to damages of any kind on the part of the customer.
Kwaliteit en gebreken – Qualité et défauts – Quality and defects
NL – In geval de klant de niet-conformiteit van de geleverde diensten en/of producten opwerpt, hetzij voor, hetzij na de geleverde diensten of goederen, zal de koper de bewijslast dragen van de niet–conformiteit van deze.
FR – Dans le cas où l’acheteur/client soulève la non-conformité des prestations et/ou des biens livrés, que ce soit avant ou après la livraison des travaux ou des biens, l’acheteur a la charge de la preuve de la non-conformité de ceux-ci.
EN – In case the customer raises the non-conformity of the delivered services and/or products, either before or after the delivered services or goods, the buyer shall bear the burden of proving the non-conformity of the same.
Betaling – Paiement – Payment
NL – Al onze facturen zijn contant betaalbaar binnen de 30 dagen na factuurdatum in de zetel van onze firma volgens de wet. Betaling van facturen houdt geen overdracht van eigendom in.
Hoofdsom- of saldo zullen in geval van niet betalen binnen de 30 dagen na de vervaldag van rechtswege en eveneens zonder ingebrekestelling nogmaals kunnen vermeerderd worden met 12 % met een minimum van 125 Euro.
Betaling van factuur betekent geen kwijting van voorgaande facturen; Uitvoering, levering en/of afwerking van de bestelling kan worden geweigerd als de vervallen factuurbedragen niet werden betaald. Alle kosten, directe en indirecte voortvloeiend uit wanbetalingen zijn ten laste van de klant.
FR – Toutes nos factures sont payables au comptant dans un délai de 30 jours à compter de la date de facturation au siège de notre société, conformément à la loi. Le paiement des factures n’implique pas le transfert de propriété.
En cas de non-paiement dans les 30 jours de l’échéance, le principal ou le solde peuvent, de plein droit et sans mise en demeure, être majorés de 12 % supplémentaires, avec un minimum de 125 euros.
Le paiement des factures n’implique pas la libération des précédente factures; l’exécution, la livraison et/ou l’achèvement de la commande peuvent être refusés si les montants des factures échues n’ont pas été payés. Tous les coûts, directs et indirects, résultant du non-paiement sont à la charge du client.
EN – All our invoices are payable in cash within 30 days of invoice date at the registered office of our company according to the law. Payment of invoices does not imply transfer of ownership.
In the event of non-payment within 30 days of the due date, the principal or balance may, ipso jure and without notice of default, be increased by a further 12% with a minimum of EUR 125.
Payment of invoice does not discharge previous invoices; execution, delivery and/or completion of the order may be refused if the overdue invoice amounts have not been paid. All costs, direct and indirect, arising from non-payment shall be borne by the customer.
Protest – Contestation – Protest
NL – Indien de klant niet akkoord gaat met het bedrag van facturatie, moet hij WOLFFF binnen de 8 kalenderdagen per aangetekende brief in kennis stellen van zijn bezwaren. Deze bezwaren dienen omstandig te worden uitgelegd. Er wordt van uitgegaan dat de klant de facturen naziet zodat wordt aangenomen dat niet kan worden teruggekomen op reeds betaalde facturen.
FR – Si le client n’est pas d’accord avec le montant facturé, il doit notifier ses objections à WOLFFF par lettre recommandée dans un délai de 8 jours civils. Ces objections doivent être expliquées en détail. Il est supposé que le client vérifie les factures, de sorte qu’il n’est pas possible de revenir sur des factures déjà payées.
EN – If the client does not agree with the amount of invoicing, he must notify WOLFFF of his objections by registered letter within 8 calendar days. These objections must be explained in detail. It is assumed that the customer checks the invoices so that it is assumed that already paid invoices cannot be returned.
Annulering en vergoeding – Annulation et remboursement – Cancellation and reimbursement
NL – Elk annuleren of uitstellen van een bestelling dient schriftelijk te gebeuren. Indien de opdrachtgever een bestelling annuleert, zal de volgende annulatievergoeding worden aangerekend:
(a) Bij annulatie van de bestelling: 20% van het totale offertebedrag.
(b) Bij annulatie van de bestelling op minder dan 48u voor aanvang van de uitvoering: 50% van het offertebedrag met een minimum van 125 Euro.
FR – Toute annulation ou report d’une commande doit se faire par écrit. Si le client annule une commande, les frais d’annulation suivants peuvent être facturés :
(a) En cas d’annulation de la commande : 20% du montant total du devis.
(b) En cas d’annulation de la commande moins de 48 heures avant le début de la prestation : 50% du montant du devis avec un minimum de 125 euros.
EN – Any cancellation or postponement of an order must be in writing. If the client cancels an order, the following cancellation fee will be charged:
(a) For cancellation of the order: 20% of the total quotation amount.
(b) In case of cancellation of the order less than 48h before the start of the performance: 50% of the quotation amount with a minimum of 125 Euro.
Aansprakelijkheid – Responsabilité civile – Liability
NL – WOLFFF kan enkel aansprakelijk gesteld worden voor de werken weerhouden in de bestelbon.
FR – WOLFFF ne peut être tenue responsable que des travaux spécifiés dans le bon de commande.
EN – WOLFFF can only be held liable for the works described in the order form.
Geschillen – Litiges – Disputes
NL – Bij geschillen zijn uitsluitend de rechtbanken van het gerechtelijk arrondissement Gent bevoegd (desgevallend de vrederechter van het derde kanton te Gent)
FR – En cas de litiges, seuls les tribunaux de l’arrondissement judiciaire de Gand sont compétents (si nécessaire, le juge de paix du troisième canton de Gand).
EN – In case of disputes, the courts of the judicial district of Ghent have sole jurisdiction (if necessary, the justice of the peace of the third canton in Ghent).
